1. You are aware that registering to the Service is equivalent to contractual acceptance of this document and its Annexes.
2. You understand that the subscription to the Service will only be effective upon receipt of the successful activation notice sent by Reputeasy via email ("Welcome Email").
3. You have read and accept, without reservation, all the provisions and clauses outlined in this document, which are reproduced in full below.

You have read, understood, and expressly accepted, the following provisions of the Terms and Conditions: "OPERATION OF THE SERVICE"; "WARRANTIES"; "UNAUTHORIZED USE"; "INTELLECTUAL PROPERTY AND COPYRIGHT"; "LIMITATIONS OF LIABILITY AND SUPERVENING IMPOSSIBILITY"; "MODIFICATIONS TO THESE TERMS"; "CONFIDENTIALITY AND PRIVACY"; "EXPRESS TERMINATION OF CONTRACT"; "ASSIGNMENT OF CONTRACT"; "NULLITY"; "PERSONAL DATA"; "GENERAL CLAUSE".

Definitions

For these Terms and Conditions and the Annexes, the following definitions apply:

• Subscription: the period during which the Customer uses the Platform Services after completing Registration and paying the monthly fee. The cost is related to the number of Activities on the Customer's account.
• Customer Account: the primary account created by the Customer to manage their Subscription.
• User or User Account: use licenses with limited Service functionality activated by the Customer Account.
• Attachment(s): legally binding documents available on the Site, including but not limited to the privacy policy and cookie policy.
• Activity: one or more business activities managed by the Client, connected to their Account.
• Carousel: a horizontal interface mode of the Widget feature, displaying up to 15 recent text message reviews.
• Customer(s): natural and/or legal persons using the Service for business activities.
• Feed: a vertical interface mode of the Widget feature, displaying up to 15 recent text message reviews.
• Features: Platform features accessible through the Site.
• Integrations: Platform feature for importing Public Reviews from third-party sites like Facebook, Google, TripAdvisor, etc.
• Interested parties: the Client's customers/users invited to review Activities, and informed in advance about personal data processing and Service use.
• Free Trial: Reputeasy's free trial, starting from the receipt of the Welcome Email.
• Public Review(s): reviews published on third-party sites and integrated into the Platform.
• Private Reviews: reviews received on the Platform and kept confidential by the Customer.
• Registration: the stage of subscribing to the Subscription, as described in the "Features of the Service" section of this document.
• Sectors: the areas of Activities.
• Service: Reputeasy's innovative system for integrating, managing, monitoring, and sharing Public Reviews, and sending review requests.
• Site: the domain "www.reputeasy.com"
• Software and/or Platform: the platform designed and marketed by Reputeasy, accessed via "app.reputeasy.com".
• Terms and Conditions: this document governs the general terms between Reputeasy, its Customers, and any connected User Accounts.
• Widget: a software function for incorporating recent reviews on an Activity’s site via the Platform link.

Subject

These Terms and Conditions and Site Annexes govern the contractual relationship between Reputeasy, the Platform owner, and its Clients. Customer acceptance is required for the Free Trial and Subscription activation. The Customer acknowledges having read these Terms and Conditions and the Annexes before registering and starting Service use.

The Customer may accept these Terms and Conditions and the Annexes, indicating full acceptance during Registration by selecting the appropriate tickbox. This selection signifies agreement to all aspects of the Terms and Conditions and the Annexes, as well as the regulations contained therein.

By Registering, the Customer also consents to receive information from Reputeasy via email and/or SMS to facilitate Service use.

Operation Of The Service Description

Reputeasy operates in the IT sector, offering Customers a Service that enables the Customer Account to add Activities in their Sector and utilise the described Functionalities. The Customer Account can manage and aggregate Public Reviews through Integrations. The best Public Reviews can be displayed on the corresponding Activity's website using Widgets.

Additionally, the Customer Account can request reviews from Interested Parties via QR Code, personalised URL, email, SMS, and/or WhatsApp messages using the "Send Link" feature. The "Automate" section allows for automatic review requests.

Functionality

• Feedback Manager: Monitors and analyses the flow of Public Reviews.
• My Activity: Manages Activities (by Sectors) and Integrations.
• Send Links: Sends review requests via email, SMS, and/or WhatsApp messages using an auto-generated link.
• Edit Template: Customises email, SMS, WhatsApp messages, and social media posts.
• Site Widget: Posts recent best Public Reviews on the Activity's website using various modes.
• Affiliation: Enables the Customer Account to refer third-party companies for Service use and earn commissions.
• Sharing on Social: Shares Public Reviews on social media platforms.
• Analytics: Monitors review growth and distribution.

Access To The Service

Trial Period: A 30-day trial of the Services post-receipt of the Welcome Email. Required data includes email, phone number, name, address, and company details. Integrations can be made during this period.

Registration, Verification, Cancellation

• Registration and Verification: Begins after signing up for the Trial, including payment method entry and purchase form completion. Confirmation of successful Registration via email activates the Subscription.
• Cancellation: Subscription can be cancelled anytime via the "Customer Portal" accessible via the "Billing" button.

Rules Of Conduct And Commitments

From receipt of the Welcome Email, the Customer agrees to:

• Use the Platform in accordance with these Terms and the necessary security measures.
  Avoid reproducing, extracting, or reusing any element of the Platform.
• Use the Software and Services lawfully, especially in compliance with the "Consumer Code," GDPR, intellectual property, image rights, and e-commerce laws.

Both the Company and Client commit to:

• Adopt legal security measures for data and information protection.
• Comply with workplace safety, personal data protection, and digital preservation laws.
• Disclose relevant information to tax and administrative authorities.
• The Service remains the property of the Company. The Customer agrees to faithfully fulfil the commitments from Service use.

Correspect

The Customer agrees to pay a monthly fee for the Activity related to their account. The Company may use promotions to review or adjust the fee.
Payment, delays, and termination: Fees are payable monthly via the registered payment method. Withdrawal from the Service is possible as described above.

Duration Of The Contract

The contract automatically renews monthly unless the Customer opts for termination. The right to terminate for just cause remains.

Service Management

The Company provides Services with due diligence, following quality standards and fairness for the Client’s benefit.

Auxiliaries: Both parties may use their associates for Service-related activities, each responsible for their auxiliaries’ work.

Warranties

Warranty rights comply with applicable regulations, including Software licensing and service provisions.

Software Security And Warranty

Reputeasy uses anti-intrusion software to secure data on its Software. Customers may request support for software issues via Chat or email.

Warranty Limitations

The warranty excludes damages from force majeure, misuse of Software, Customer’s misconduct, or necessary maintenance.

Unauthorized Use

Customers must not reverse engineer, misuse, copy, or resell the Software or Services, or use them inappropriately, violating these Terms.

Infringement Consequences

Reputeasy may discontinue Services for Customers violating these Terms, with email notification of reasons and discontinuation modalities.

Intellectual Property And Copyright

The Company owns all intellectual property rights related to the Software and Services. Unauthorized use post-contract termination constitutes a rights violation.

Limitations Of Liability And Supervening Impossibility

Reputeasy’s liability is limited to direct consequences of its malice or gross negligence. The Customer releases Reputeasy from liability for indirect or incidental damages. If Service use becomes impossible, Reputeasy will notify Customers and either terminate the contract or reduce fees proportionally if partial performance is feasible.

Modifications To These Terms

Reputeasy may amend these Terms and Annexes, notifying Customers via email or on the Site. Changes take effect the following month, unless otherwise required by law. Customers can withdraw without charge if they disagree with the changes.

Confidentiality And Privacy

Both parties commit to maintaining confidentiality regarding each other's business information learned during the contractual relationship.

Express Termination Of The Contract

Reputeasy can terminate the contract for serious breaches like using false credentials, payment failures, or improper use of Services. Termination is through written notice, and Reputeasy retains the right to claim further damages.

Transfer Of The Contract

Reputeasy may transfer its rights or obligations under these Terms, ensuring Customer's rights are unaffected. Customers cannot transfer their rights or obligations without Reputeasy's written permission.

Communications

All communications regarding the Services should be sent to the specified email and address.

Nullity

If any provision of these Terms is deemed void or ineffective, it does not affect the validity of the remaining provisions. Invalid provisions will be amended to regain validity.

Personal Data

Both parties will process personal data in compliance with GDPR and as outlined in Reputeasy's privacy policy.

General Clause

Service use constitutes acceptance of these Terms. The Customer declares understanding and compliance with these Terms.
